Introduction to the Code of Ethics

The Global Excellence Management Association (GEXMA.us®) establishes this Code of Professional Ethics to guide the professional and personal conduct of its members and certification holders.

Members bear a professional obligation to clients, prospects, employers, employees, the public, and fellow members to act competently and ethically at all times. Adherence to both the content and the spirit of this Code is essential to fulfilling this obligation.

This responsibility extends to all employees and individuals under the supervision of a member. The GEXMA.us® Board of Directors reserves the right to discipline members who violate this Code, which may include termination of membership and revocation of the right to use any GEXMA.us® designations.

GEXMA.us® is committed to ensuring its members deliver competent, ethical, and objective management consulting and advisory services, thereby benefiting clients, employers, the profession, and the Association as a whole.

Membership in GEXMA.us® is open to management professionals with a minimum of three years of relevant experience in their field.

Code of Ethics

Members shall:

  1. Maintain up-to-date knowledge of all relevant laws, regulations, and professional standards applicable to their practice.
  2. Continuously develop their professional expertise and stay informed of advancements in management theory and practice.
  3. Accept only those assignments for which they possess the necessary knowledge, skills, and experience to perform competently.
  4. Promptly inform a client or employer if they lack the requisite expertise for an assignment and assist in securing a qualified professional.
  5. Base all recommendations and advice on thorough research, sound analysis, and a commitment to serving the client’s best interests.
  6. Strive to fully understand the unique circumstances, objectives, and needs of each client.

Integrity

Members shall:

  1. Refuse to knowingly participate in, assist, or condone any illegal or unethical activity by a client.
  2. Accurately represent their credentials, qualifications, experience, and the services they provide.
  3. Uphold the reputation of the management profession as a “trusted advisor”; decline any inducements that could compromise their objectivity or the client’s interests.
  4. Comply with all applicable laws, regulations, and professional codes of conduct.
  5. Identify and fulfill their fiduciary and professional duties of care to each client.
  6. Actively avoid conflicts of interest, disclose any potential or actual conflicts immediately, and take appropriate steps to resolve them.
  7. Inform clients of their ethical obligations under this Code.
  8. Agree upon fair and reasonable fees in writing prior to commencing work and disclose any additional benefits arising from an assignment.
  9. Promote ethical practices and encourage peers to adhere to this Code.

Objectivity & Independence

Members shall:

  1. Maintain objectivity and independence in all professional judgments, always prioritizing the client’s best interests.
  2. Provide clients with clear distinctions between factual information, professional judgments, and personal opinions, including the rationale behind recommendations.
  3. Refrain from accepting terms or conditions that impair their independence and reserve the right to withdraw from an assignment if independence is compromised.

Confidentiality

Members shall:

  1. Safeguard all confidential client information, disclosing it only when legally mandated or due to unlawful activities.
  2. Never use confidential information for personal advantage or for the benefit of any party other than the client.

Professional Competence & Due Care

Members shall:

  1. Provide professional services with integrity, objectivity, independence, and due care.
  2. Manage client expectations realistically and avoid making unfounded guarantees.
  3. Ensure that any professionals working under their supervision are aware of and comply with this Code.
  4. Engage only in business practices that enhance, rather than detract from, the professional standing of the Association and its members.
  5. Report professional misconduct by other members to the appropriate us® authority.

Client Engagement & Business Practices

Members shall:

  1. Reach a mutual written understanding with the client regarding objectives, scope, deliverables, timelines, and fees before undertaking substantive work.
  2. Ensure fee structures are transparent, agreed in advance, and do not compromise the quality of service or the member’s integrity.
  3. Avoid concurrently serving multiple clients with conflicting interests without full prior disclosure and informed consent from all parties involved.
  4. Refrain from soliciting or recruiting employees of a client without prior discussion with the client, except through general public advertisements.
  5. Conduct business development activities in a manner that upholds the dignity and reputation of the profession.
